IPO Lock-Up Calendar
Every scheduled lock-up release we can source, with the share count expressed as a percentage of the float and of shares outstanding, because those two numbers routinely point in opposite directions. Early-release price triggers are resolved against where the stock actually trades rather than repeated as a condition, and any figure that fails to reconcile is left out with the reason attached.
When Is the Next IPO Lock-Up Expiry?
The short answer: SPCX on August 6, 2026: about 911.5m shares, which is +164% of a 555.6m share float and 7% of shares outstanding. Eligible to trade is not the same as sold, and the price usually reacts before the date rather than on it.

The share count is derived, not filed: 7% of a restricted pool of roughly 4.6 billion shares, where the pool itself is backed out of the first tranche being 20% of it. Two independent readings land near 319 million, one of them by a different route (about 2.44% of shares outstanding), which is corroboration rather than confirmation. Sources also disagree by a day on the date, some placing it on August 20.

CBRS: Main lock-up expiry
180 days after the May 13, 2026 prospectus date, which is the later half of an earlier-of test against two trading days after the quarter ending September 30, 2026 is reported
Count not publishedReported at roughly 171 million shares, about five times the 34.5 million share offering. Not published as a count for the same reason as the row above: 171 million plus the reported 60 million early release exceeds the roughly 192 million restricted shares implied by 226.5 million outstanding less the 34.5 million float.
The date is calendar arithmetic on a confirmed prospectus date and a lock-up structure described in secondary coverage, not read from the filing. The share count is reported and does not reconcile, so it is not shown.

Tier 1 source ↗Count not publishedEverything left in the 180-day pool, plus the 455.8 million shares whose price condition failed and rolled here. No count is published because the pool total is derived rather than filed, so a residual computed from it would inherit that derivation.
Percentage of What?
This is the whole reason the tool exists. A headline that says 911.5 million shares unlock, worth $116 billion is frightening and unusable, because it is a numerator with no denominator. Against SpaceX's 555.6 million share float that tranche is +164%, more than doubling the tradeable stock in a day. Against 13.1 billion shares outstanding it is 7%. Both are true and they support opposite conclusions, so every row above gives you the base.
The float can be understated
If underwriters exercised the over-allotment, those shares are in public hands too. A float quoted on the base offering alone makes every percentage look bigger than it is. Where that applies, the wider base is shown in brackets on the row.
Dollar values are snapshots
The same 911.5 million shares were reported at $123bn, $116bn and about $100bn inside two weeks, purely because the price moved. The share count is the durable number, so every dollar figure here carries the price and date it was struck at.
Conditions get resolved
"A further 455.8 million shares could release under certain conditions" is a research gap, not a sentence. The condition was a price 30% above the IPO price against a stock below it, so it could not fire, and the shares rolled to a later date. That is the useful half.
Releases With No Date Yet
These are real releases waiting on an event, usually an earnings report whose date has not been announced. They are kept out of the dated calendar rather than given a guessed date.
- CBRS: Early release around the Q2 2026 report
Reported to fall around the Q2 2026 report, which is confirmed for August 12, 2026 after the close. The eligibility date depends on a release mechanism this calendar has not read out of the prospectus.
Resolved: Pending, and only half-resolvable from here. The earnings date is confirmed for August 12 after the close, so the release, if the provision is as described, lands within days of it. What is not resolved is the provision itself, which has not been confirmed against the filing, and the size, which fails the arithmetic against shares outstanding. This row is a date to watch rather than a quantity anything can be built on.
Reported at over 60 million shares. Not published as a count: it is single-sourced, and adding it to the roughly 171 million reported for the main expiry gives 231 million against roughly 192 million restricted shares, which cannot both be true.
- SPCX: Conditional early release, price trigger455.8m (+82% of float, 3.5% of shares out)
Would have released alongside the August 6 tranche. The condition failed, so these shares roll to December 8.
Resolved: Not met, and it was never close. The stock traded near $110 through most of the window and its best close in it was $125.33 on August 4, about 29% below the trigger, which then had to be cleared five times in ten sessions. The shares do not disappear: they roll into the December 8 release and quietly make that date larger.
- SPCX: Q3 2026 earnings-triggered release
Two trading days after SpaceX reports Q3 2026 results. No reporting date has been announced; coverage that has modelled it puts the release in late October or November.
Resolved: Pending, and it is a date question rather than a condition question: the release itself is not in doubt, only when it lands. SpaceX has not announced a Q3 reporting date. The August 6 tranche released on the second trading day after the August 4 report, so the same offset applied to a Q3 date is the working assumption until the company schedules it.
Reported as about 28% of the 180-day pool, which against the derived 4.6 billion share pool is on the order of 1.3 billion shares. No count is published here because the pool size is itself backed out of the first tranche rather than read from the prospectus, so a figure that large would carry a derivation two steps deep.
- SPCX: Founder and selected insiders
Mid-2027. No specific date has been published.
Not disclosed as a tranche. Musk holds about 42% of the equity and more than 80% of the voting power through Class B stock, which against 13.1 billion shares outstanding is on the order of 5 billion shares, but the locked group is not itemised and that arithmetic is ours rather than the company's.
The Denominators, Issuer by Issuer
Every percentage above divides by one of these. They are published in full, with dates, so any figure on this page can be checked rather than trusted.

Which shares the float counts: All 34,500,000 shares sold at the May 15 closing are counted, including the 4,500,000 over-allotment shares underwriters took up in full. That is the complete offering rather than the base, so percentages of float on this issuer are stated on the wider base.
The structure is an earlier-of test rather than a single cliff: the lock-up ends at whichever comes first between two trading days after the quarter ending September 30, 2026 is reported and 180 days after the prospectus date. That makes the November date an outer bound that a reporting date can pull forward, which is the opposite of how a lock-up date is usually read.
What we could not confirm
- sec.gov is unreachable from this environment, so neither the 424B4 nor the S-1 lock-up section could be read directly. Everything below rests on the described terms in secondary coverage.
- The two reported tranche counts do not close against the share register: a reported early release of over 60 million shares plus a reported 171 million at the main expiry is 231 million, against roughly 192 million restricted shares. At least one figure is wrong, so neither is published.
- No regular-session close could be confirmed from two sources this session, so no dollar values are shown for this issuer.

- Offering

- $86.2bn gross, including 83.33m of over-allotment taken up in full
Which shares the float counts: This float counts the base offering only. Underwriters exercised the over-allotment in full for a further 83,333,333 shares, so 638,888,888 Class A shares were actually sold into public hands at the June 15 closing. Every percentage-of-float on this issuer is therefore stated on the narrower 555.6 million base that this site has published since the IPO; the wider 638.9 million base is shown alongside it on every row so the reader can see how much of the headline percentage is an artefact of which shares got counted.
Across the 7 releases on this issuer that carry a published share count, 2.96bn shares become eligible: +533% of the float and 22.6% of shares outstanding, taking the tradeable float to about 6.3x its present size. That total excludes 3 releases with no publishable count, so the real figure is larger.
The lock-up is a staircase rather than a cliff: 20% released off the Q2 report, then five 7% tranches at fixed day counts every two to four weeks into late October, then an earnings-triggered release at Q3, then the balance at the 180-day mark. The design reduces the size of any single shock and replaces it with four months of scheduled, known supply. Two different day-count bases run at once: the fixed milestones count from the June 12 first trade, while the 180-day expiry counts from the June 11 prospectus date.
What we could not confirm
- The prospectus itself could not be re-read this session: sec.gov is unreachable from this environment, so the lock-up terms here rest on published coverage rather than on the filing text.
- The restricted pool of roughly 4.6 billion shares is derived from the first tranche being 20% of it, not read out of a filing. Every 7% tranche count depends on that derivation.
- The float is the base offering only and excludes the exercised greenshoe. See float_note.
- The reference price behind every dollar value is the August 4 close. No later close could be confirmed from two sources, and this stock has moved 9% in a session, so treat the dollar column as a snapshot struck on August 4 rather than a current valuation.

How This Is Built
The "Lock-Up Agreements" and "Shares Eligible for Future Sale" sections of a 424B4 or S-1 are parsed for four things: the day count and what it runs from, any earnings-triggered expiry, any early-release price trigger, and the share counts and pool percentages attached to them. That parse produces a candidate, never a published row.
A row is only published once its share count has both denominators behind it, its dollar value has a price and a date, and any condition has been resolved rather than repeated. Where a reported figure fails to reconcile against the share register, the date is published and the count is not, with the arithmetic that killed it shown on the row. Each row is graded Filing, Tier 1 or Reported so you can see how far from the prospectus a number is.
IPO Lock-Up FAQ
- When is the next IPO lock-up expiry?
- The next release on this calendar is SPCX on August 6, 2026: about 911.5m shares, which is +164% of a 555.6m share float and 7% of shares outstanding. A lock-up expiry makes shares eligible to trade; it does not mean they are sold.
- What is an IPO lock-up?
- A contractual promise by insiders, employees and pre-IPO investors not to sell their shares for a set period after the offering, usually 180 days, written into the underwriting agreement and described in the "Lock-Up Agreements" section of the 424B4 or S-1. When it expires, those shares become eligible to trade.
- Why does this calendar show two percentages for every tranche?
- Because a share count on its own is unusable, and the two bases can support opposite conclusions. A release of 911.5 million shares against a 555.6 million share float more than doubles the tradeable stock, which sounds catastrophic. The same 911.5 million shares against 13.1 billion shares outstanding is about 7% of the company, which sounds trivial. Both are true. Showing only one is how a reader gets misled, so every row here carries both.
- Do shares always fall when a lock-up expires?
- No. Eligible to trade is not the same as sold, and markets front-run a known date, so the weakness usually arrives before the expiry rather than on it. Studies of lock-up expiries find an average abnormal return of roughly -2%, and the largest single unlock in Facebook history was followed by a 12.6% rally, because clearing the overhang removed the uncertainty.
- What is an early-release price trigger?
- A clause that frees part of the locked stock ahead of schedule if the share price holds above a set level, typically a percentage of the IPO price, for a number of trading days inside a window. It matters because a trigger far above the current price cannot fire, and the shares it governs do not disappear: they usually roll into the next scheduled release, making that date larger.
- Where do these figures come from?
- The lock-up terms come from the "Lock-Up Agreements" and "Shares Eligible for Future Sale" sections of each issuer's 424B4 or S-1, linked on every issuer panel, together with the coverage cited on each row. Every row is graded by how well sourced it is, and where a reported share count fails to reconcile against the share register it is not published at all. Last updated August 6, 2026.
