AvalonBay Merger Closes Monday: AVB Holders Get a 10% Raise
AvalonBay's merger with Equity Residential closes Monday, August 17. Each AVB share becomes 2.793 shares of Vivmark Residential (VMRK), and the income on it rises 10.2%.

When Does the AvalonBay Merger Close?
Monday, August 17, subject to customary closing conditions. Equity Residential and AvalonBay said so in a joint release on August 12, filed the same day on Form 8-K, after both shareholder bases approved every required proposal. More than 99% of votes cast went in favour at each meeting, on turnout of roughly 90% of shares outstanding.
The combined company takes the name Vivmark Residential and starts trading under VMRK at the open on Tuesday, August 18. Neither company has published a separate notice for AVB's final tape, so read Monday as the last AvalonBay session rather than a confirmed one.

Two closes, one ratio, and a nineteen-cent gap where the arbitrage used to be.
What Each AVB Share Converts Into
2.793 shares of Vivmark. That number was fixed when the deal was announced on May 21 and has not moved since, which means AVB holders have been carrying EQR's price risk for three months whether they framed it that way or not.
Run it against Friday's closes. EQR at $65.97, times 2.793, is $184.25. AVB closed at $184.06. Nineteen cents, or 0.10%, and it sits on the wrong side: the market marks AVB fractionally below what it converts into.
That gap is smaller than the round-trip cost of setting the trade up, and it is one session from expiring. I read it as a deal the market treats as done, priced by people who long ago stopped charging anything for the risk it breaks.
A 10% Raise, Arriving Tuesday
Here is the part worth doing on the back of an envelope, because it is the one number a holder actually feels.
AvalonBay pays $1.78 a quarter, $7.12 annualised, a 3.87% yield on Friday's close. Equity Residential pays $0.7025 a quarter, $2.81 annualised, 4.26%. The companies guided Vivmark's initial annualised dividend at that same $2.81, matching EQR's rate.
So an AVB share yielding 3.87% turns into 2.793 shares yielding 4.26%, at 99.9% of market value. Multiply out: 2.793 x $2.81 = $7.85 of annual income where $7.12 used to be. Call it +10.2%, arriving on Tuesday morning, with no decision required.
I want to be careful about how far that goes. It is a swap into a higher-yielding stock at parity, not new cash flow appearing from anywhere, and the guided rate is a board's stated intention rather than a declared dividend. But it is real, it is checkable, and I have not seen anyone put the arithmetic on a page.
Why Reddit Is Involved
AvalonBay's S&P 500 seat is being taken by Reddit before Tuesday's open, which is most of why RDDT closed up 12.63% on Friday. The framing in a lot of Friday's coverage had AvalonBay dropping out of the index. It is being absorbed.
Vivmark keeps the index membership on the Equity Residential side of the ledger, so the trackers holding AVB do not have to liquidate anything: their shares convert like everyone else's. The forced buying this week is entirely Reddit's, and I said what I thought of paying up for it on Friday. The index needed one new constituent because 500 is 500.
What Vivmark Actually Is on Tuesday
More than 180,000 apartments across 300-plus properties, roughly $53 billion of equity value and $71 billion of enterprise value at the companies' July 30 marks. Ben Schall runs it from AvalonBay, Steve Sterrett chairs it from Equity Residential, and it keeps two headquarters, Arlington and Chicago. Former AVB holders own 51.2%.
Those dollar figures move with the tape, and they already have: the same release put equity value near $52bn and enterprise value near $69bn in May. Multiplying Friday's closes gives about $51.8bn of combined equity today. Quote the 180,000 apartments if you want a figure that survives the week.
The case against getting excited: management guided $175m of gross synergies and $125m net after property tax reassessment. Spread across roughly 785m pro forma shares, that is about $0.16 a share a year, next to a $2.81 dividend. Cost savings are not why anyone should own this. Two coastal apartment books with overlapping markets and one G&A line is a sensible piece of housekeeping, and it is priced as one.
The Options Angle
The merger-arb trade is arithmetic, and the arithmetic says no. Long AVB at $184.06 against short 2.793 EQR at $65.97 locks in negative nineteen cents before commissions, and the position has one day to live. Nobody is getting paid to hold this.
The chain itself is the thing to watch out for. In an all-stock merger, outstanding options on the disappearing name get adjusted to deliver the new shares rather than cash out, which turns a standard AVB contract into a non-standard deliverable in VMRK. I have not seen the adjustment memo, so I am not quoting the terms. Anyone holding AVB paper into Monday's bell should read it before assuming their strike still means what it used to.
